Privacy Policy

1. Who we are.
Memray.app (“Memray”, “we”, “us”, “our”) is a California-based platform that helps you articulate, preserve, and evolve your Memory Manifesto — a structured, encrypted record of your values, preferences, and personality for use across AI systems. Memray is operated by RM4Tech LLC, with its principal place of business at 4980 Golden Foothill Pky, Suite 29, El Dorado Hills, CA 95762.

2. Eligibility and age expectation.
Memray is intended for individuals 18 years of age or older. We do not knowingly collect personal data from children under 13. We rely on user self-attestation and do not perform independent age verification.

3. Information we collect.
- Account information (email address, login credentials).
- Memory Manifesto inputs and files you upload or generate.
- Payment information processed by Stripe (we do not store full card numbers).
- Device and usage data (browser type, language, pages viewed, timestamps, and basic diagnostics).
- Support communications (messages you send to us).
- We do not use Google Analytics, Mixpanel, or similar third-party analytics tools beyond basic server logs.

4. How we use information.
- To operate Memray, generate and preserve your Memory Manifesto, and provide downloads/exports.
- To authenticate your account, process payments, and provide customer support.
- To improve reliability, performance, and security of the service.
- To communicate updates, security notices, and service-related information.
- To comply with legal obligations and enforce our Terms.

5. Data sovereignty and sharing.
- We do not sell or rent your personal data.
- We share data only with service providers acting on our behalf (e.g., hosting, storage, email, payments via Stripe) under confidentiality and data protection obligations.
- We may disclose information if required by law, subpoena, court order, or to protect rights, safety, and integrity of the service.
- In a business transfer (merger, acquisition), your data may be transferred to the successor entity under this same policy.

6. Security.
We use encryption in transit and at rest, access controls, and secure key management. No system is perfectly secure, but we take reasonable measures designed to protect your information.

7. International access and transfers.
Memray is operated in the United States. Users worldwide may access the service. If you access from outside the U.S., your data may be transferred and processed in the U.S. under this policy. We do not make jurisdiction-specific compliance commitments (e.g., GDPR certification); your use is governed by this Privacy Policy and our Terms.

8. Retention and deletion.
We retain your data for as long as your account is active and as needed to provide the service. You may request deletion of your account and associated data; we will process deletion subject to legal obligations and backup integrity windows.

9. Your choices.
- Access, export, correct, or delete: Contact us to request support; we will respond consistent with applicable law.
- Communications: You can opt out of non-essential emails; service and security notices will still be sent when necessary.
- Cookies/PWA storage: We use minimal cookies/local storage for authentication, preferences, and PWA functionality. You can control cookies via your browser settings, though essential cookies are required for login.

10. Digital immortality disclaimer.
Memray does not guarantee digital immortality, consciousness transfer, continued existence, or any posthumous outcomes. Outputs are data artifacts and do not constitute identity, personhood, or legal status.

12. Changes.
We may update this policy. If changes materially affect your rights, we will provide a clear notice. Continued use after the effective date indicates acceptance of the updated policy.

Terms of Service

1. Acceptance of terms.
By creating an account or using Memray, you agree to these Terms of Service and our Privacy Policy.

2. Service description.
Memray provides tools to create, maintain, and export your Memory Manifesto for use across AI systems. Features may evolve over time.

3. Accounts and eligibility.
You must be 18+ and provide accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4. Subscriptions, billing, and refunds.
- Paid features are billed via Stripe; you authorize us and Stripe to charge your payment method for recurring subscriptions.
- You can cancel anytime; access continues until the end of the current billing period.
- Fees are non-refundable once a billing period has begun, except where required by applicable law. We do not offer refunds for partial periods, unused services, or dissatisfaction. This “no refunds” policy is disclosed to meet applicable California requirements.

5. Acceptable use.
You agree not to: (a) misuse Memray, (b) attempt to breach security, (c) reverse engineer or copy significant parts of the service, (d) upload unlawful content, or (e) infringe intellectual property or privacy rights.

6. User content.
You retain ownership of your Memory Manifesto and content. By using Memray, you grant us a limited license to process and store your content solely to operate and improve the service and provide exports you request. We do not proactively moderate user content; we may act when required by valid legal process (e.g., subpoena or warrant) or to comply with applicable law.

7. Intellectual property.
Memray, the Memray logo, the Memory Manifesto framework, and all related software and documentation are owned by RM4Tech LLC. No rights are granted except those expressly stated.

8. Termination.
We may suspend or terminate access for violations of these Terms or to protect the service. You may terminate at any time by deleting your account. We will handle data deletion in line with our Privacy Policy.

9. Disclaimers.
Memray is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law. We do not warrant outcomes related to AI personalization, persistence, or any posthumous representation.

10. Limitation of liability.
To the maximum extent permitted by law, RM4Tech LLC will not be liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits, arising from or relating to your use of Memray. Our total liability for any claim will not exceed the amount you paid to Memray in the twelve (12) months preceding the claim.

11. Indemnification.
You agree to indemnify and hold RM4Tech LLC harmless from claims arising out of your use of Memray, your content, or your violation of these Terms.

12. Arbitration, class action waiver, and venue.
Except for individual claims in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or your use of Memray will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and RM4Tech LLC agree to waive any right to a jury trial and to participate in a class action or class-wide arbitration. If the arbitration clause is found unenforceable as to a particular claim, exclusive venue for that claim is the state or federal courts located in Sacramento County, California, and California law governs, without regard to conflict of law principles.

13. International use.
Users worldwide may access Memray. Your use is governed by these Terms and the Privacy Policy. We do not undertake jurisdiction-specific compliance programs; by using the service, you accept that your relationship with us is governed by U.S. law as specified herein.

14. Accessibility statement.
We do not make formal commitments to specific accessibility standards. We aim for a simple, usable experience but do not warrant conformance to WCAG or similar frameworks.

15. Data portability.
We do not provide APIs or direct export integrations beyond standard download/export features available in the service.

16. Changes to terms.
We may update these Terms. Material changes will be communicated, and continued use after the effective date constitutes acceptance.
